1. Acceptance of Terms Welcome to Mirastock app , a service provided by wabekatec ("we," "us," "our"). These Terms and Conditions ("Terms") govern your access to and use of the Mirastock mobile application, our website, and any related services (collectively, the "Service"). By registering for, accessing, or using the Service, you ("User," "you," "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not use the Service. 2. Description of Service Mirastock is a business management application that combines sales, stock, inventory, customer management, and financial reporting into a single, integrated platform. The Service is offered through various subscription plans ("Plans") as detailed on our website and within the application, including a Free trial, Standard, Premium, and Gebeta plan. 3. Account Registration and Security Eligibility: You must be at least 18 years of age and possess the legal authority to enter into a binding agreement to use the Service. Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. 4. Subscription Plans, Fees, and Payment Free Trial: We offer a 7-day free trial ("Free Trial") that provides full access to the core features of the Service. No payment information is required to start the Free Trial. At the end of the Free Trial period, your access to premium features will terminate unless you choose a paid subscription plan. Paid Subscriptions: By selecting a paid Plan (Standard, Premium, or Gebeta), you agree to pay the applicable subscription fees as described in the app or on our website. Fees are quoted in Ethiopian Birr (Br) and are exclusive of any applicable taxes. Payment: Payment for subscriptions is processed through third-party payment gateways(Manually Bank Transfer), including but not limited to Commercial Bank of Ethiopia (CBE), Awash Bank, Abyssinia Bank, Dashen Bank, Telebirr, and Cash. Automatic Renewal: Paid subscriptions do NOT automatically renew. You will be notified before the end of your subscription period and must manually renew your plan to continue using the Service without interruption. Refunds: All subscription fees are non-refundable, except as required by applicable law or as expressly stated in our Refund Policy.
5. User Responsibilities and Acceptable Use You agree not to use the Service to: Upload, post, or transmit any content that is illegal, harmful, or infringes on any third party's intellectual property rights. Engage in any activity that interferes with or disrupts the Service or its servers. Attempt to reverse engineer, decompile, or discover the source code of the Service. Use the Service to store or transmit viruses, worms, or any other malicious code. Use the Service for any fraudulent or unlawful purpose. Share your account credentials with any third party. You are solely responsible for the accuracy, quality, and legality of the data you input into the Service. 6. Intellectual Property All rights, title, and interest in and to the Service (including all software, graphics, trademarks, and content) are and will remain the exclusive property of wabekatec and its licensors. These Terms grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business purposes according to your subscription Plan. 7. Support and Training Technical Support: Technical support is provided based on your subscription Plan. The scope and duration (e.g., 3 months, 6 months, 1 year) of included technical support are specified in your Plan details. Remote Training: Remote training and onboarding sessions are offered as described for each Plan. Availability may be subject to scheduling. 8. Disclaimer of Warranties THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WABEKATEC SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted, secure, or error-free. 9. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, WABEKATEC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE. 10. Termination By You: You may stop using the Service at any time. To terminate your account, please contact us. By Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service will cease immediately. 11. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any dispute arising from these Terms shall be resolved through amicable negotiations. If such negotiations fail, the dispute shall be submitted to the competent courts of Addis Ababa. 12. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of significant changes by posting the new Terms on our website or within the application.
